Terms of trade

The standard terms that govern quotations, orders and deliveries, unless a signed contract states otherwise.

1. Quotations

Quotations state their validity period and are firm for that period. Pricing outside a stated validity, or for quantities materially different from those quoted, may be revised. A quotation becomes binding when your purchase order is confirmed by us in writing.

2. Orders and confirmation

Orders are accepted by written confirmation stating goods, quantities, pricing, delivery schedule and payment terms. The confirmation is the controlling document for the transaction.

3. Prices and payment

Prices are in Indonesian Rupiah unless stated otherwise and exclude VAT unless marked as inclusive. Payment terms are stated on the confirmation. For credit accounts, invoices are due within the agreed term; we may suspend deliveries on overdue accounts after written notice.

4. Delivery

Delivery dates in confirmations are commitments, not estimates. If a date comes under threat, we notify you as soon as the risk is known and propose a recovery plan. Risk in the goods passes on delivery; title passes on payment in full.

5. Inspection and claims

Please inspect goods on delivery. Visible shortages or damage should be noted on the delivery document and reported within 3 working days. Claims under this clause are handled by your account contact and resolved by replacement, repair or credit as appropriate.

6. Warranty

Goods carry the manufacturer warranty applicable to them. For machinery and appliances we administer warranty registration and claims on units we supplied. Warranty does not cover misuse, unauthorised modification or normal wear.

7. Returns

Catalogue goods in unopened original condition may be returned within 14 days by prior agreement, against a restocking charge where applicable. Goods procured to order or cut, mixed or manufactured to specification are not returnable except under clause 5 or 6.

8. Intermediation engagements

Where we act under a sourcing or agency mandate, the mandate document governs scope, fee and responsibilities. We disclose our remuneration basis in the mandate and do not accept undisclosed compensation from counterparties.

9. Liability

Our liability for any claim is limited to the invoice value of the goods concerned. We are not liable for indirect or consequential loss. Nothing in these terms excludes liability that cannot be excluded under Indonesian law.

10. Governing law

These terms are governed by the laws of the Republic of Indonesia. Disputes are first addressed through good-faith negotiation between senior representatives; failing that, they are submitted to the competent courts of Jakarta.
